This is a legally binding Agreement ("Agreement") between you ("Travel Agency") and The Luggage Club Inc. ("Company"). Consent to the terms and conditions of this Agreement is required if you want to participate in The Luggage Club's Travel Agency Program.
This Agreement contains the complete terms and conditions governing the Travel Agencies participation in The Luggage Club's "Travel Agency Program". The Program enables you to earn commissions by generating online or verbal luggage and goods delivery reservations that result in an order through The Luggage Club's Web Site as set forth in this Agreement. You agree that all of The Luggage Club's rules, policies, and procedures concerning customer orders, customer service, and bookings will apply to those customers. The Luggage Club may, in our sole discretion, change our policies and operating procedures at any time, without notice.
"The Luggage Club" hereby grants to "Travel Agency" a non-exclusive right, on the terms and conditions contained below, to resell "The Luggage Club's services". Nothing herein shall prevent or prohibit The Luggage Club from selling any of its services directly to the public.
a) The Luggage Club generates commission on published rates for the following services: Premium, Deluxe, Select, Economy and International as well as group rates. All commissions are based upon sale price, less taxes, tariffs, fees or other governmental charges.
b) All commissions will be paid at the rate of seven percent (7%) for 10 or less completed orders per month; 11 to 24 completed orders per month will have a commission rate of ten percent (10%); 25 or more completed orders per month will have a commission rate of twelve percent (12%). The Luggage Club may at any time change the commission rates for all services that are commissionable.
c) All commission will be paid every 30 days by check accompanied by an activity report. All commissions will be paid on previous months bookings of each calendar month on shipments of which all portions have been successfully completed for all items designated in order. Commissions apply to the portion of the rate paid for shipping, exclusive of any amount paid for supplemental insurance. Commission checks will not be issued until balance due to agent exceeds $100.
d) Commissions will be paid only on shipments that are completed in accordance with The Luggage Club's Terms of Service.
e) The Luggage Club reserves the right to determine agent's eligibility for commissions. These terms & conditions are subject to change without notice.
Each party hereto is responsible for its own costs in connection to this Agreement, including, any and all costs incurred in the development, implementation and maintenance of the Services.
Each party of this Agreement will keep confidential all non-public information received from the other party.
Any complaints concerning the Services will be handled within 7 days from receipt of all pertinent information. Each party shall be kept informed of any such complaints received by the other.
The Company may terminate this Agreement at any time for any reason or no reason. You may terminate this Agreement at any time for any reason or no reason. This Agreement automatically terminates if you breach any provision of this Agreement.
COMPANY DISCLAIMS ALL COMPENSATORY, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES OR LOST PROFITS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.
COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESSED, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.
THIS AGREEMENT CONTAINS THE COMPLETE TERMS AND CONDITIONS THAT APPLY TO YOU BECOMING INVOLVED IN THE LUGGAGE CLUB'S TRAVEL AGENCY PROGRAM. THIS AGREEMENT IS A LEGALLY BINDING CONTRACT BETWEEN YOU AND THE LUGGAGE CLUB.
